MUFG Bank and MUSHD today announced that MUFG Bank will acquire 100% of shares of the following overseas securities subsidiaries1 (MUFG Securities EMEA plc, MUFG Securities Asia Limited, and MUFG Securities (Canada), Ltd.) currently owned by MUSHD, making them direct subsidiaries of MUFG Bank (hereinafter, “group reorganization”). The reorganization is scheduled for July 1, 2025, subject to the completion of necessary procedures, including approvals from the relevant regulatory authorities in Japan and abroad.

MUFG further announced on May 15, 2022 that an expected closing date has been changed from the first half to the second half of CY2022[2].

Although the closing date had been expected to be in the first half of CY2022, considering the ongoing U.S. regulatory approval process, on May 16, 2022, MUFG announced a shift[2] in the expected closing date to the second half in CY2022.

On September 21, 2021, MUFG and MUFG Bank, a core banking subsidiary of MUFG, announced an agreement[1] to sell all shares of MUFG Union Bank, N.A.(“MUB”), MUFG’s subsidiary owned through MUFG Americas Holdings Corporation(“MUAH”), to U.S. Bancorp(“USB”). Due to fluctuations in the market value of assets classified as held for sale in connection with the planned sale of the shares in MUB, MUFG is expected to record the losses in the consolidated financial statements (under J-GAAP) for the first half of the fiscal year ending March 31, 2023.

While significant progress has been made by both parties in planning for the closing and integration, the U.S. regulatory approval process remains ongoing and, therefore, considering the current timing, the expected closing date has shifted to the second half of CY2022, subject to the receipt of required regulatory approvals and the satisfaction of other closing conditions. We will announce the planned closing date no less than 30 days prior to the closing date.

MUFG and MUFG Bank, a core banking subsidiary of MUFG, today announced that they have agreed with U.S. Bancorp (USB) to the sale of all shares in MUFG Union Bank, N.A. (MUB), MUFG’s subsidiary owned through MUFG Americas Holdings Corporation (MUAH), and pursuant to the respective resolutions of the boards today approving the transaction, have entered into the Share Purchase Agreement as indicated below. As a result of the transfer of the MUB shares (the Share Transfer), there will be changes to MUFG’s subsidiary. The completion of the Share Transfer is subject to certain conditions precedent, including the approval from relevant regulators, and is expected to be effective in CY2022 H1.
